The Dangote Petroleum Refinery and Petrochemicals (DPRP) is set to launch a landmark ₦2.15 trillion ($1.6 billion) Initial Public Offering (IPO) on September 14, 2026, targeting as many as 10 million Nigerian investors in what could rank among the country’s largest equity offerings.
The offer is designed to significantly widen retail participation in Nigeria’s capital market by allowing Nigerians to subscribe for shares through a technology-enabled platform integrated with the Bank Verification Number (BVN) system.
Subject to regulatory approvals and completion of the offer, DPRP’s shares will be listed on the Main Board of the Nigerian Exchange Limited (NGX), giving investors an opportunity to take direct equity positions in one of Africa’s largest and most strategically significant industrial projects.
The transaction also includes an overallotment option of up to 30 per cent of the offer size, potentially increasing the volume of shares available to investors if demand exceeds the initial allocation.
BVN-based subscription to drive mass participation
The integration of BVN into the subscription process is expected to simplify investor verification and reduce some of the barriers traditionally associated with participation in public offerings.
The digital structure is intended to allow both first-time and experienced investors to apply for shares remotely, while strengthening the identification and verification process underpinning the offer.
For DPRP, the strategy goes beyond raising capital. It is aimed at creating a broader domestic shareholder base for an asset that has become central to Nigeria’s efforts to strengthen domestic refining capacity, reduce petroleum-product imports and expand its position in Africa’s energy market.
Speaking at the IPO signing ceremony, Aliko Dangote, Chairman of the Board of Directors of DPRP and Founder and President of Dangote Industries Limited, described the planned offering as a major milestone in the refinery’s development.
“Today’s signing ceremony marks another defining milestone in the evolution of DPRP. We set out to build a world-class refinery capable of transforming Nigeria’s energy landscape and strengthening Africa’s energy security.”
Dangote said the IPO would extend ownership of the refinery to a wider pool of Nigerian investors and enable them to participate directly in its future growth.
“Through this IPO, we are opening ownership of this strategic asset to a broader community of investors and creating an opportunity for Nigerians to participate directly in its future growth and value creation,” he said.
IPO could deepen Nigeria’s retail investment market
The planned offering comes as Nigeria seeks to deepen its capital market, expand domestic investment opportunities and encourage greater participation by retail investors.
A successful subscription by millions of Nigerians would represent a significant expansion of the country’s equity-investor base and could provide a major test of the capacity of digital financial infrastructure to support mass-market capital raising.
For international investors, the transaction also provides a window into the evolving ownership structure of Nigeria’s downstream energy sector, particularly as the Dangote refinery seeks to scale production and strengthen its role in regional petroleum-product markets.
Dangote said the offer was consistent with the company’s broader objective of promoting inclusive economic growth and broad-based ownership.
“This offer presents Nigerians with a unique opportunity to become co-owners of a world-class refinery that is transforming Africa’s energy landscape,” he said.
He added that simplifying the subscription process through BVN integration and digital application channels would enable millions of Nigerians to participate in the refinery’s growth.
The IPO is therefore positioned not only as a major corporate fundraising exercise but also as a potential milestone in the development of Nigeria’s retail equity market, with the outcome likely to be closely watched by investors, regulators and businesses across Africa.
